Corporate (Corporate Governance)

We provide corporate counseling to clients at all stages of the corporate life cycle from establishing an enterprise, providing ongoing advice for corporate governance, advising on joint ventures and strategic alliances and any restructuring, bankruptcy or liquidation matters that may arise.

Specifically, we provide counseling to our clients on a full range of issues, such as the following:
- Contract review, Contract entry, Amendment and Termination
- Civil, Criminal, Administrative, Labor, Environmental, Tax and Fair trade issues
- Changes in capital, stocks and shareholders’ rights
- Management duties and responsibilities and disputes regarding management
(e.g., shareholder claims against the company’s management)

·	Advised Company V, a KOSDAQ-listed company, on accumulation of disclosure penalty points, corporate rehabilitation proceedings, and substantive review for delisting due to embezzlement / breach of fiduciary duty

·	Advised Company Y (pharmaceutical/bio), an entity applying for a special listing for technology (overall advice, including review of technology evaluation application)

·	Advised Company D, a KOSDAQ-listed company, in response to sanctions for non-compliance of disclosure obligation(restatement)

·	Advised C, a KOSDAQ-listed company, on substantive review of delisting due to embezzlement / breach of fiduciary duty

·	[Advisory Works on Special Listed Technology Growth IPO]

·	Advised Pharmaceutical Company Y on special technology listing

·	Advised automation equipment company C on special technology listing

·	Advised on maintaining the listing of a company that experienced a listing issue after a special technology listing and advised on technology evaluation

·	Advised companies S and I on preparations for special technology listing

·	Regular advisory services (monthly contract) for special technology listed companies

·	Defense of delisting of multiple companies listed on the Korea Exchange and KOSDAQ

·	Advised multiple companies listed on the Korea Exchange and KOSDAQ in response to audit (accounting supervision, etc.)

·	Comprehensive advice on management control disputes and embezzlement of former executives of listed companies D, I, and V (successful recovery of management control)

·	Responded to and advised on a hostile M&A case against Company L

·	Analyzed and developed a strategy for the listing of Company D. Establishment of strategies for governance and securing new growth engines through spin-offs, etc.

·	Represented and defended debtor in bankruptcy case against E company (Won), etc.

·	Advised Company P on restructuring of its subsidiary (reviewed restructuring plan, reviewed financial effects of restructuring, etc.)

·	Advised listed companies on the sale and purchase of companies pending restructuring in and outside of Korea (U.S., China, Indonesia, etc.).

·	Advised Company S on the acquisition of Company D (steel and structural pipes) through bond acquisition and equity conversion (including valuation)

·	Comprehensive advice on IPO of Company L (unlisted company)

·	Advised Company B on attracting investment and securing management rights, etc.

·	Advised on merger between related parties within a large corporate group

·	Defense of share purchase rights disputes between large companies

·	Advised a joint venture (JV) investor on strategies for reorganizing the JV's governance structure

·	Advised and resolved an insider trading case involving an employee of an I company (publicly traded company) (internal investigation closed)

·	Advised and represented T Securities Company (privately held) in derivative market stock price manipulation case (Won acquittals in first and second trials)
